Terms and Conditions

1. Definitions
- Roadway Talent: the service provider that supports clients with an AI recruitment system for hiring truck drivers.
- Client: the (legal) person entering into an agreement with Roadway Talent.
- Candidate: a driver who is sourced, qualified or introduced via Roadway Talent.
- AI recruitment system: the combination of AI-driven campaigns, automated workflows, human recruiters and connected systems with which Roadway Talent runs the recruitment process.
- CRM: the shared system in which client and Roadway Talent can follow candidates, conversations, progress and notes.
- Demo: an introductory call in which Roadway Talent explains the approach and maps the client's recruitment needs.
- Appointment: an interview (by phone, digital or on location) scheduled by Roadway Talent between a candidate and the client.
- Qualified candidate: a candidate who meets the criteria communicated in writing by the client in advance.
2. Applicability
These terms apply to all quotes, offers, agreements and services of Roadway Talent. Deviations are only valid if agreed in writing. The applicability of any purchasing or other terms of the client is expressly rejected.
3. Services
Roadway Talent provides an AI recruitment system for sourcing, approaching, qualifying and scheduling interviews with truck drivers for the client. This includes AI-driven campaigns on Meta, automated first contact, human follow-up, qualification and appointment scheduling. Roadway Talent makes every effort to deliver qualified candidates and appointments, but does not guarantee a minimum number of appointments, hires or employment contracts. Roadway Talent has a best-efforts obligation; placement, contract negotiation and further selection remain with the client.
4. Demo and rates
- The client can book a demo via the website without obligation. During the demo we explain the approach, the AI recruitment system and the expected collaboration.
- After the demo the client receives a tailored proposal with rates and conditions. All amounts are exclusive of VAT unless stated otherwise.
- Invoicing takes place in line with the agreed proposal. Payment must be made within 14 days of the invoice date, unless agreed otherwise. In case of late payment the client is in default by operation of law and owes the statutory commercial interest and extrajudicial collection costs.
5. Shared CRM and visibility of the process
Roadway Talent gives the client access to a shared CRM in which candidates, conversations, progress, notes and appointments are tracked. The client can follow the recruitment process here. Roadway Talent remains the owner of the structure, workflows and data within the system, unless agreed otherwise.
6. Client obligations
- The client provides all information required for the services in a timely and complete manner (including profile, criteria, salary indication, availability, calendar and CRM access).
- The client ensures timely follow-up and professional treatment of candidates.
- The client does not approach candidates introduced via Roadway Talent outside the route we facilitate, and processes personal data in accordance with the GDPR.
- The client is responsible for the final selection, employment contract, screening and onboarding of the candidate.
7. AI-driven processing
Roadway Talent uses AI tools and automated workflows for campaign optimisation, initial screening, answering questions and appointment scheduling. These technologies operate under the human supervision of experienced recruiters. No fully automated decisions with legal or similarly significant consequences are made about candidates without human involvement.
8. Anti-circumvention
If within 12 months of an introduction by Roadway Talent the client employs, hires or contracts a candidate we introduced via another route without completing the regular service, the client owes a fee. The amount of this fee is determined on the basis of the agreed rate or, in the absence thereof, a market-standard fee. This also applies if the placement takes place at a company affiliated with the client.
9. Intellectual property
All campaigns, texts, creatives, funnels, AI workflows, candidate databases and methods developed by Roadway Talent remain the property of Roadway Talent. The client only obtains a non-exclusive right of use for the duration of the agreement, insofar as necessary for the intended use.
10. Liability
- Roadway Talent is only liable for direct damage resulting from intent or wilful recklessness.
- Liability for indirect damage, including consequential loss, lost profit, missed savings, reputational damage and damage due to business interruption, is excluded.
- Total liability per event (or series of related events) is limited to the amount the client paid to Roadway Talent in the three months preceding the damaging event, with a maximum of €5,000.
- Roadway Talent is not liable for the acts or omissions of candidates, for incorrect or incomplete information from candidates, or for the absence of a hire or employment contract.
11. Force majeure
In the event of force majeure (including outages at advertising platforms, changes in laws or regulations, pandemics and cyber incidents) Roadway Talent is entitled to suspend performance without being liable for any compensation.
12. Term and termination
Agreements are entered into for an indefinite period, unless agreed otherwise. Both parties may terminate the agreement in writing subject to a notice period of 30 days. Appointments already delivered and fees already due remain payable.
13. Confidentiality and GDPR
Parties treat all confidential information as strictly confidential. Our privacy policy applies to the processing of personal data. Where required, parties conclude a data processing agreement.
14. Governing law and disputes
All agreements are governed by Dutch law. Disputes will be submitted exclusively to the competent court in the district where Roadway Talent is established.
